Except as otherwise noted herein, these terms and conditions ("the Terms") govern your use of the Site.

If you do not agree to these Terms, you should not access or use the Site. Systematic Art, Inc. reserves the right to make changes to the Site and to these Terms from time to time. When changes are made, they we will post them here.

Systematic Art, Inc. encourages you to review these Terms whenever you use the Site because by visiting the Site, you agree to accept any such changes. Systematic Art, Inc. provides the general public with access to and use of the Site subject to your compliance with the Terms.

No content from the Site may be copied, reproduced, republished, uploaded, posted, transmitted or distributed in any way, except as specifically permitted on the Site or unless granted permission in writing by Systematic Art, Inc.

The Site, including all of its information and contents, such as text, data, wallpaper, icons, characters, artwork, images, photographs, graphics, music, sound, messages, graphics, software and the HTML used to generate the pages (collectively, "Materials and Content"), is Systematic Art property or that of our suppliers or licensees and is protected by patent, trademark and/or copyright under United States and / or foreign laws.

Except as otherwise provided on the site or in these Terms, you may not use, download, upload, copy, print, display, perform, reproduce, publish, modify, delete, add to, license, post, transmit, or distribute any Materials and Content from this Site in whole or in part, for any public or commercial purpose.

Systematic Art, Inc. grant you a personal, limited, non-exclusive, non-transferable license to access the Site and to use the information and services contained here.

We reserve the right, for any reason or for no reason, in our sole discretion and without notice to you, to revise the products and services described on he Site and to terminate, change, suspend or discontinue any aspect of the site, including, but not limited to, the Materials and Content on the Site as well as features and/or hours of availability of the Site, and we will not be liable to you or to any third party for doing so.

We may also impose rules for and limits on use of the Site or restrict your access to part, or all, of the Site without notice or penalty. We have the right to change these rules and/or limitations at any time, in our sole discretion

If for any reason a selection does not meet your expectations, you may return for a full credit or make an exchange within 15 days of delivery.

All refunds and exchanges must be accompanied by the original bill of sale and within the allotted time period.

After 15 calendar days all sales will be deemed as (final) unless otherwise agreed to in writing by Systematic Art, Inc. the (Seller) and the purchaser the (Buyer.)

2. SHIPPING RATES AND CHARGES

Merchandise is shipped from our distribution center in Paramount, California using a number of carriers that include United parcel Service and United States Parcel Service.

Orders received after 2:00PM Eastern Standard Time will be shipped the following business day. Orders are shipped Monday through Friday. Saturday and Sunday are none-shipping days.

Orders shipped to a foreign country may be subject to taxes and or duty charges and are the responsibility by the recipient of the package(s).

Shipping methods may vary by country and shipping charges made to an international address are the responsibility of the purchaser.

3. PRICES AND SALES TAX

All prices in this catalog are subject to change.

We are required to collect sales tax for all deliveries within the states of NY and CA. Only the local sales tax of the delivery destination is charged.

4. DAMAGED PACKAGE / DAMAGED OR DEFECTED MERCHANDISE:

Items found to be defected will be replaced without charge by the (Seller) to the (Buyer). Systematic Art, Inc. reserves the right to inspect any item prior to replacement.

Purchaser is required to report any damage or defect within (10) days of receipt of goods in order to receive an exchange or credit.

Buyer should at no time dispose of any damaged or defected goods until Systematic Art, Inc. has been notified. If goods have been damaged during shipment carrier may request to inspect goods whereas (Seller) reserve's the right to file a claim against carrier.

In the event goods should arrive damaged due to shipping the seller should refuse shipment and notify Systematic Art immediately by either calling us at (212)-614-3233 or by sending an email to Support@Systematicart.com.

5. NON DAMAGED / NON DEFECTIVE MERCHANDISE

Buyer reserves the right to return non-damaged or non-defective good within 20 days after purchase at a 25% restocking fee.

Returned goods must be in the original package and in unused condition accompanied by the original bill of sale.

No returns or refunds will be given to items that have been (installed) or in (used condition). The shipping cost of (non-defective) - (non-damaged) goods will be at the expense of the purchaser.

6. PROHIBITED USES

The Systematic Art website may be used only for lawful purposes and is available only for your personal, noncommercial use, which shall be limited to viewing the Site, purchasing products and downloading product information for your personal review.

You are responsible for your own communications, including the transmission, uploading of information and are responsible for the consequences of such communications to the Site.

Systematic Art specifically prohibits any use of the Site, and requires all users to agree not to use the Site, for any of the following:

a. Engaging in conduct that would constitute a criminal offense, giving rise to civil liability or otherwise violate any city, state, national or international law or regulation that would fail to comply with accepted Internet protocol.
b. Communicating or transmitting, material that is copyrighted or otherwise owned by Systematic Art unless you are the copyright owner.
c. Communicating or transmitting material that infringes on any other intellectual property, privacy or publicity right of another.
d. Communicating, transmitting, or transferring information or software derived from the site to foreign countries or certain foreign nations in violation of US export control laws.
e. Attempting to interfere in any way with the Systematic Art's networks or network security, or attempting to use the Site's service to gain unauthorized access to any other computer system.

7. SECURITY RULES

Violations of system or network security may result in civil or criminal liability. Systematic Art will investigate occurrences and may involve, and cooperate with, law enforcement authorities in prosecuting any user or users who are involved in such violations.

You are prohibited from violating or attempting to violate the security of the Site, that include, the following:

a. Accessing data not intended for you or logging into a Systematic Art server or account, which you are not authorized to access.
b. 8. PRODUCT PRICING AND INFORMATION

Although Systematic Art has made every effort to describe, show completed installation images and display products and their colors as accurately as possible, the displayed colors of the products will depend upon the monitor of the user, and Systematic Art cannot guarantee that the user's monitor will accurately portray the actual colors of the products.

Products displayed may be out-of-stock or discontinued, and prices are subject to change.

Systematic Art is not responsible for typographical errors regarding price or any other matter.

9. PROPRIETARY RIGHTS

Systematic Art, Inc. is the owner and/or authorized user of any registered or unregistered trademark, trade name and/or service mark appearing on the Site, and is the copyright owner or licensee of the Materials and Content on the Site, unless otherwise indicated.

The Systematic Art logo, designs, titles, phrases and product names and the copyrights, trademarks, service marks, trade dress and/or other intellectual property in such materials (collectively, "Systematic Art Intellectual Property") are owned by Systematic Art, Inc. and may be registered in the United States and internationally.

You agree not to display or use Systematic Art's Intellectual Property in any manner without prior permission. Nothing on the Site should be construed to grant any license or right to use any Systematic Art Intellectual Property without the prior written consent.

If you respond to Systematic Art with any information, including but not limited to feedback, data, questions, comments or suggestions information may not be deemed confidential.

All such submissions shall be deemed the property of Systematic Art, and your submission of information shall constitute an irrevocable assignment to Systematic Art of all worldwide rights, titles and interests in and to such information.

Systematic Art Inc. will not be liable for any use or disclosure of such information.

Systematic Art Inc. will not have any obligation to keep such information confidential and will be free to reproduce, use, disclose and distribute the information to others without limitation. Systematic Art will be free to use any ideas, concepts, know-how or techniques contained in such information for any purpose whatsoever, including but not limited to developing, manufacturing and marketing products which incorporate or otherwise rely upon such information.

11. DISCLAIMER AND LIMITATION OF LIABILITY

Systematic Art provides information on its website as a convenience to the general public.

While Systematic Art attempts to provide accurate information, there may be inadvertent technical or factual inaccuracies and typographical errors.

Systematic Art reserves the right to make corrections and modify the website at any time without notice.

Improper installation, damaged walls or ceilings could cause Hardware to fail for which "we" the company bare no blame, responsibility or liability.

Exceeding the allotted weight rating per item could lead to Product failure for "we" the company bare no blame, responsibility or liability.Customers / Users should refrain from hanging over beds, electronics, furniture and any other items of sentimental or monetary value.

Moreover, users should NOT hang items in areas that could potentially cause injury to humans, pets or anything that is alive.

"We" the company will not be held liable for any damage to property or bodily injury as a result of hardware failure.

It is essential to always make certain that any and all hardware associated with Systematic Art Inc., that includes but not limited to tracks, rails, cables, hooks, ceiling couplers, wall couplers, hanging rods, cables rods, tensions systems, clamps, anchors and screws are strong enough to hang objects being displayed.

As structural conditions and materials differ by location it is the (Customers / Users) responsibility to determine that the hardware is (SUITABLE) and (STRONG) enough for their desired installation.

Liability if any, is limited to a full refund of the purchase price only upon return of product, accompanied by both its original package and receipt to Systematic Art, Inc.

IN NO EVENT SHALL SYSTEMATIC ART INC., ITS AFFILIATES OR ANY OF THEIR RESPECTIVE DIRECTORS, EMPLOYEES OR CONTENT OR SERVICE PROVIDERS BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, LOSSES OR CAUSES OF ACTION (WHETHER IN CONTRACT OR TORT, INCLUDING, BUT NOT LIMITED TO, NEGLIGENCE OR OTHERWISE) ARISING FROM OR IN ANY WAY RELATED TO THE USE OF, OR THE INABILITY TO USE, OR THE PERFORMANCE OF THE SITE OR THE CONTENT AND MATERIALS OR FUNCTIONALITY ON OR ACCESSED THROUGH THE SITE, INCLUDING, WITHOUT LIMITATION, LOSS OF REVENUE, OR ANTICIPATED PROFITS, OR LOST BUSINESS, DATA OR SALES OR ANY OTHER TYPE OF DAMAGE, TANGIBLE OR INTANGIBLE IN NATURE, EVEN IF SYSTEMATIC ART OR ITS REPRESENTATIVE OR SUCH INDIVIDUAL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

12. LIMITED WARRANTY

This product is sold "AS IS" without express or implied warranty of any kind. The responsibility of Systematic Art Inc., will be limited, when appropriate, to the replacement of these products or the reimbursement of the purchase price. Performance of this product is subject to varying conditions and maximum load ratings are specified for comparison purposes only.

13. WARRANTY

Seller warrants, when its Products are properly stored before installation, installed correctly according to Seller’s installation instructions, used for its intended purpose, and properly maintained after installation, the Product will be free from defects in material and workmanship for a period of fifteen (15) years (the “Limited Warranty Period”) from the date of delivery. Seller is not responsible for and warranty does not apply to damages caused by misuse, improper installation, accidents, abuse, or unauthorized service or parts.

Systematic Art maintains that all products prior to being sold have been properly warehoused and sold to purchaser as new.

The Warranty of Systematic Art products is limited to the first purchaser, the first dwelling owner for which the product has been installed.

Systematic Art will NOT be held responsible for damage or failure caused by combining of our goods (The Sellers) in conjunction with other hardware not sold by the (The Seller.)

The seller is not responsible for damages caused by improper installation, misuse, or modification of its product(s).

The sale of our products that include, but not limited to rails, cables, rods, hooks, couplers, cables rods, anchors, and screws are sold (as is) and without any express warranties.

Our disclosed product weight ratings are subject to variable conditions and for comparison purposes only. The maximum liability is limited to the cost of the product and the cost of the product only.

14. INDEMNITY

BUYER) agrees to defend, indemnify and hold Systematic Art Inc.,SystematicArt.com, its directors, officers, employees, agents and affiliates harmless from any and all claims liabilities, damages, costs and expenses, including reasonable attorneys' fees, in any way arising from, related to or in connection with your use of the Systematic Art website, and the purchase and use of its products.

Resellers shall try to resolve all customer disputes amicably and between themselves.

15. GENERAL

The terms herein constitute the entire agreement between you and Systematic Art, Inc. and govern your use of the Site, and they supersede any prior Systematic Art Inc. may terminate this agreement and deny you access to the Site at any time, immediately and without notice, if in Systematic Arts sole discretion you fail to comply with any provision of these Terms.

You agree that no joint venture, partnership, employment, or agency relationship exists between Systematic Art, Inc. and you as a result of this agreement or your use of the Site.

Any claim or cause of action you may have with respect to Systematic Art, Inc. or the Site must be commenced within one (1) year after the claim or cause of action arose.

Systematic Art's failure to exercise or enforce any right or provision of these terms shall not constitute a waiver of such right or provision. The invalidity of any term, condition or provision in these terms shall not affect the enforceability of those portions of the terms deemed enforceable by applicable courts of law.

Terms shall be governed by, construed and enforced in accordance with the laws of the State of New Jersey, without giving effect to any conflict of law provisions.

Any dispute arising under these Terms shall be resolved exclusively by an appropriate federal or state court sitting in the State of New York.

You may not assign the terms or any of your rights or obligations under the terms without Systematic Art's express written consent. The terms inure to the benefit of Systematic Art's successors, assigns and licensees.
